Remuneration Policies and Procedures



  1. Introduction
  2. This Remuneration Policies and Procedures (“Policies”) is the guiding document (“Document”) for the Board of Directors and the Remuneration Committee (“RC”) of THREE-A RESOURCES BERHAD (“the Company” or “3A”) and its subsidiaries (collectively known as “the Group”) to determine the remuneration of Directors and Senior Management, taking into account the demands, complexities and performance of the Group as well as skills and experience required.

  3. Scope
  4. This Policies applies to all Executive Directors (“EDs”), Non-Executive Directors (“NEDs”) and Senior Management of the Group.

  5. Policy and Procedures
  6. The RC reviews and recommends the remuneration packages of the EDs, NEDs and Senior Management to the Board annually. The RC and the Board of Directors will ensure that the remuneration remains competitive to attract and retain the EDs, NEDs and Senior Management to achieve the Group’s business objectives.
  • The RC shall make recommendation to the Board on the components and elements of the remuneration packages of each ED and Senior Management of the following:

    - Levels of skills, experience, scope of responsibilities
    - The corporate and individual performance and
    - Remuneration rate of the industry as a whole

  • In determining the remuneration packages of the EDs, NEDs and Senior Management, the RC shall ensure that EDs and Senior Management abstain from any discussion involving their remuneration packages;
  • Salaries payable to EDs shall not include a commission on or percentage of turnover (pursuant to Paragraph 7.23 of the Bursa Malaysia Listing Requirements);
  • The remuneration of the NEDs comprises Directors’ fees and meeting allowances. The review of remuneration for NEDs should take into account the skills and levels of responsibilities that the NEDs undertake;
  • Fees payable to NEDs shall be by fixed amount, and not by a commission on or percentage of profits or turnover (pursuant to Paragraph 7.23 of the Bursa Malaysia Listing Requirements);
  • The Directors’ fees and allowances of the NEDs of the Company are subject to approval of the shareholders at the Annual General Meeting and
  • The RC shall review and recommend to the Board of any other forms of remuneration to any Directors who is appointed to any executive position or serves on any committee or performs or renders services, which in the opinion of the Directors are beyond the ordinary duties as a Director of the Company.
